MDB Cyber Weeks - EULA Terms

This document ("Cyber Weeks Terms") sets out special terms that apply to purchases of MDB Pro made under the MDB Cyber Weeks long term license promotion ("Cyber Weeks Long Term Licenses"). These Cyber Weeks Terms supplement and modify the standard End User License Agreement ("EULA") between you and StartupFlow s.c. (MDB / MDBootstrap) and form part of a single agreement.

Capitalized terms used in these Cyber Weeks Terms that are not defined here have the meanings given to them in the EULA. If there is any conflict or inconsistency between these Cyber Weeks Terms and the EULA, these Cyber Weeks Terms will prevail for Cyber Weeks Long Term Licenses only. For all other purchases, the standard EULA applies without change.

1. Scope of application

These Cyber Weeks Terms apply only to MDB Pro products purchased directly from StartupFlow s.c. under a Cyber Weeks Long Term License (for example a 5 year, 10 year or Lifetime plan) as described on the MDB Cyber Weeks promotion page at the time of purchase. They do not apply to standard recurring subscription plans or to any other products or services that are not expressly sold as Cyber Weeks Long Term Licenses.

2. Usage license for Cyber Weeks Long Term Licenses

For Cyber Weeks Long Term Licenses, the following clarifies and modifies the "Usage Rights" provisions of the EULA for the relevant order:

Subject to full and timely payment of the applicable fees, StartupFlow s.c. grants you an ongoing, non exclusive, worldwide license to use the Product in accordance with the EULA and these Cyber Weeks Terms.
For Cyber Weeks Long Term Licenses, your usage license is granted according to the purchased long term plan: 5 years, 10 years or Lifetime, as specified at checkout or in your order confirmation.
For 5 year and 10 year Cyber Weeks Long Term Licenses, you may use the Product to create and run End Products for 5 or 10 years (respectively) from the date of purchase, subject to all other terms and restrictions in the EULA.
For Lifetime Cyber Weeks Long Term Licenses, you may use the Product to create and run End Products for an indefinite period, subject to all other terms and restrictions in the EULA.
The limitation in the standard EULA that your right to use the Product ends when a subscription is canceled or lapses does not apply to Cyber Weeks Long Term Licenses. Instead, your right to use the Product is governed by the long term period attached to your Cyber Weeks Long Term License as described above.

3. Updates

For Cyber Weeks Long Term Licenses, access to updates of the Product is provided as follows:

Updates will be provided according to the purchased long term plan for the period specified for that plan (for example 5 years, 10 years or another period stated at the time of purchase), or until StartupFlow s.c. ceases to exist as a legal entity, whichever comes first.
After the updates period ends, you may continue to use the last version of the Product that was made available to you during the active updates period, in accordance with your usage license and all other terms of the EULA and these Cyber Weeks Terms, but you will not be entitled to further updates unless separately agreed.

4. Instant AI support

Instant AI support is an AI assisted support service that helps you work with MDB components and related code. For Cyber Weeks Long Term Licenses, access to Instant AI support is governed by the terms below, which supplement the support provisions in the EULA:

Instant AI support will be provided according to the purchased long term plan for the period specified for that plan, or until StartupFlow s.c. ceases to exist as a legal entity, whichever comes first.
With your first purchase of a Cyber Weeks Long Term License you receive an initial token balance for Instant AI support, as described at checkout or in your order confirmation.
Additional usage of Instant AI support beyond the included token balance may require you to purchase more tokens in accordance with the pricing and terms available at https://mdbootstrap.com/general/purchase-credits/.
StartupFlow s.c. may apply reasonable technical or usage limits to Instant AI support, including rate limits or fair use policies, in order to protect the stability and security of the service.

5. Priority Expert support

Priority Expert support is a premium level of human support provided by the MDB expert team, as described on the MDB website and in the Premium Support section of the EULA. For Cyber Weeks Long Term Licenses, the following applies:

Priority Expert support is guaranteed for 1 year from the date of purchase of your Cyber Weeks Long Term License.
After this 1 year period, you are no longer contractually entitled to Priority Expert support under your Cyber Weeks Long Term License, unless you purchase a separate subscription, add on or agreement that expressly extends or renews Priority Expert support.
The service levels, response times and support channels for Priority Expert support during the 1 year guaranteed period are as described in the Premium Support Terms section of the EULA, unless expressly modified in a separate written agreement.

6. No other changes

Except as expressly modified by these Cyber Weeks Terms, all provisions of the EULA (including, without limitation, the sections on Rights, Restrictions, Premium Support Terms, Changes to License Terms, Extending the Package and Upgrades, and Governing Law) remain unchanged and in full force and effect and apply to Cyber Weeks Long Term Licenses to the maximum extent permitted by law.

For clarity, all user limits, project limits, redistribution rules, intellectual property provisions, warranty disclaimers and limitations of liability set out in the EULA continue to apply in full to Cyber Weeks Long Term Licenses.
